1. Parties, Purpose and Definitions

1.1. This Model & Photo Release (the "Release") is given by the individual named in the Model Details above (the "Model") in favor of BRANDWORKSAPP LLC, a Florida limited liability company doing business as Clirium's Magazine (the "Publisher"), the publisher of Clirium's Magazine, a monthly digital periodical published at https://cliriumsmagazine.com (the "Magazine").

1.2. "Materials" means all photographs, video recordings, audio recorded as part of video, still frames and other visual or audiovisual depictions of the Model created by or for the Publisher on the Date of Shoot at the Location of Shoot, or otherwise in connection with the Model's participation in the Magazine, in any form or medium, including selected images, outtakes and edited versions, and the AI Covers and other visualizations created from them or from photographs supplied by the Model under Section 8.3.

1.3. "Likeness" means the Model's name (or any pseudonym approved by the Model in writing), image, likeness, portrait, voice, and the biographical information that the Model has approved for publication, as embodied in the Materials or used in connection with them.

1.4. "CLIRIUM® Channels" means the websites, applications, newsletters and social media accounts operated under the CLIRIUM® mark by the Publisher or by the owner of that mark, Victory Naydenova, or by her authorized licensees, including https://victorynaydenova.com, https://book.clirium.me, https://app.clirium.me and Telegram @clirium.

1.5. "Business Day" means any day other than a Saturday, Sunday or United States federal holiday.

1.6. This Release takes effect on the earlier of the Date of Shoot and the date on which the Model signs it.

2. Adults Only

2.1. The Model represents and warrants that the Model is at least eighteen (18) years of age on the date of signature and has full legal capacity to sign this Release without the consent of any other person.

2.2. This Release does not apply to any person under eighteen (18) years of age. The Publisher shall not publish any identifiable image of a minor on the basis of this Release. Any minor who appears incidentally in the Materials shall be removed, obscured or rendered unidentifiable before publication.

3. Grant of Rights

3.1. For good and valuable consideration, the receipt and sufficiency of which the Model acknowledges, the Model grants to the Publisher, its successors and permitted assigns, a worldwide, perpetual, royalty-free, non-exclusive right and license, irrevocable except as expressly provided in Section 10, to use, reproduce, publish, display, perform, distribute, transmit and make available the Materials and the Likeness, in any medium now known or later developed, for the following purposes (the "Permitted Uses"):

(a) the Magazine, including its issues, covers, interior pages, digital and downloadable editions, special editions and compilations of Magazine content;

(b) the Magazine's archive and back issues;

(c) promotion of the Magazine and of its issues, including announcements, newsletters, press and media kits, and submissions to libraries, indexing services and awards;

(d) the Magazine's social media accounts; and

(e) the CLIRIUM® Channels, where the Materials are presented as, or in connection with, the Model's story published in the Magazine, with attribution to the Model.

3.2. Within the Permitted Uses, the Publisher may edit, retouch, crop, resize, reformat, color-grade and composite the Materials; add titles, cover lines, captions, logos and graphic elements; produce excerpts, clips and still frames from video; translate captions, subtitles and accompanying text into any language; and create AI Covers and other AI-assisted visualizations in accordance with Section 5. Retouching shall be limited to customary corrections (including lighting, color, skin blemishes, stray hairs and background) and shall not alter the Model's facial features, body shape, skin tone, apparent age, ethnicity or other identifying characteristics.

3.3. The Publisher may permit its service providers (including hosting, content-delivery, printing and platform providers) to exercise the rights granted in this Section 3 solely on the Publisher's behalf, and may permit the photographer, videographer and other contributors who created the Materials to display published Materials in their professional portfolios with reference to the Magazine. The Publisher may authorize third-party media to reproduce published covers and images solely for editorial coverage of the Magazine.

3.4. The Publisher shall identify the Model by the name or pseudonym approved by the Model, except where identification is impracticable (including group images and short promotional formats).

3.5. The license is non-exclusive. Nothing in this Release restricts the Model from being photographed or filmed by others or from using the Model's own name and image.

3.6. The Publisher is not obligated to use any of the Materials or the Likeness.

4. Restrictions on Use

4.1. No unrelated endorsements. The Publisher shall not use the Materials or the Likeness to state or imply that the Model endorses, uses or recommends any product, service or brand unrelated to the Magazine without the Model's separate prior written consent. Where the Materials are used on the CLIRIUM® Channels, they shall be presented as the Model's own editorial story and not as a representation of typical or guaranteed results, and such use shall comply with the FTC Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255) and, where applicable, Federal Law of the Russian Federation No. 38-FZ "On Advertising".

4.2. No sensitive contexts. The Publisher shall not use the Materials or the Likeness:

(a) in any sexually explicit, nude or pornographic context;

(b) in a manner that states or implies that the Model has a physical or mental health condition, has received any diagnosis or treatment, or has achieved any health or therapeutic result, except to the extent stated by the Model in the text of the Model's story as approved by the Model;

(c) in connection with political, electoral or religious advocacy;

(d) in advertising for tobacco, vaping, alcohol, cannabis, gambling, weapons, adult entertainment, dating services, pharmaceuticals, medical devices or financial products;

(e) in a manner that discloses or implies the Model's sexual orientation, criminal record, immigration status, financial condition or similar sensitive personal circumstances, except to the extent stated by the Model in the approved text; or

(f) in any defamatory, demeaning or false-light manner.

4.3. No sale to third parties. The Publisher shall not sell, license or otherwise make the Materials or the Likeness available to stock agencies or to any third party for that third party's independent use.

4.4. Accuracy of context. Captions, subtitles, translations and video edits shall not alter the meaning of the Model's statements or attribute to the Model statements the Model did not make.

5. AI-Assisted Covers and Visualizations

5.1. Technical processing. The Publisher may use software tools, including tools that employ artificial intelligence, for technical processing of the Materials (including noise reduction, upscaling, background extension, color correction and removal of incidental objects), subject to Section 3.2.

5.2. AI-assisted cover creation. The Model acknowledges that the Editor-in-Chief creates each Magazine cover from photographs of the Model, including photographs supplied by the Model under Section 8.3, using a paid generative artificial intelligence tool, currently ChatGPT provided by OpenAI (the "AI Cover"). The creation, publication and use of the AI Cover for the Permitted Uses is an expressly permitted use under this Release, and the Model consents to it.

5.3. Permitted stylization and mandatory limits. The AI Cover may stylize the setting, background, wardrobe, styling, lighting, color, composition and layout. The AI Cover shall in all cases:

(a) preserve a recognizable and dignified likeness of the Model;

(b) make no change to the Model's body, apparent age, ethnicity or identity, including facial features and skin tone;

(c) contain no nudity and no sexualized depiction;

(d) not state or imply any endorsement; and

(e) comply with Section 4.

5.4. Label. Wherever the Publisher publishes the AI Cover, it shall be labeled "AI-assisted visualization based on the subject's photographs" (in Russian-language publications: «Визуализация с использованием ИИ на основе фотографий героини») in the caption, the issue credits, the image description or the accompanying post text.

5.5. Approval. The final AI Cover is subject to the Model's approval under Section 6.

5.6. Other AI-assisted visualizations. Any other artistic or conceptual visualization that incorporates the Model's image with the assistance of generative artificial intelligence is permitted only if it meets the requirements of Section 5.3, is labeled "AI-assisted visualization" (or its equivalent in the language of publication), and does not depict the Model in a realistic or documentary manner doing, saying or experiencing anything the Model did not do, say or experience.

5.7. No synthetic performance. The Publisher shall not generate a synthetic voice, lip-synchronization or synthetic video performance of the Model.

5.8. Tools, training and data processing.

(a) The Publisher may upload photographs of the Model and the Materials only to generative AI tools for which training on user content is disabled in the account settings (for example, with the ChatGPT setting "Improve the model for everyone" turned off) or is excluded by the provider's business terms.

(b) The Publisher shall not use the Materials, the Likeness or any photograph of the Model to train, or to permit the training of, any artificial intelligence model.

(c) The AI Cover is created using a paid ChatGPT plan provided by OpenAI, L.L.C. (USA), a third-party service provider that processes the uploaded photographs and related personal data under its own terms, with model training disabled in the account settings. The Model expressly consents to the transfer of such photographs and data to, and their processing in, the United States of America for this purpose. Section 7.3 applies to any separate consent to processing or cross-border transfer required by applicable law.

6. Cover Approval

6.1. Before publication, the Publisher shall send the final cover featuring the Model, including any AI Cover, in its final layout, to the Model's contact.

6.2. The Model shall have one (1) round of approval. Within three (3) Business Days after the final cover is sent, the Model shall either (a) approve it, or (b) reject it with specific written comments. In case (b), the Publisher shall revise the cover to address the comments consistently with Section 5, or replace it with another cover visual that complies with Section 5, and may publish the revised or replacement cover without a further round of approval.

6.3. If the Model does not respond within three (3) Business Days, the cover is deemed approved.

6.4. The approval right concerns the cover visual, including its AI stylization and retouching. The text of the Model's story is agreed under the Magazine's editorial approval procedure and is outside the scope of this Section 6.

6.5. After approval, the Publisher may create resized, cropped and translated versions of the approved cover for the Permitted Uses without further approval.

7. Consent Under Florida Law and Other Applicable Law

7.1. This Release constitutes the Model's express written consent under Section 540.08, Florida Statutes, to the publication, printing, display and other public use of the Model's name, portrait, photograph and other likeness for the purposes of trade and for commercial and advertising purposes described in Section 3, and the Model's consent for purposes of the right of privacy and right of publicity under the law of any other jurisdiction.

7.2. For a Model who resides in the Russian Federation, or to whom Russian law otherwise applies, this Release also constitutes the Model's consent to the publication and further use of the Model's image within the scope of this Release for the purposes of Article 152.1 of the Civil Code of the Russian Federation.

7.3. The Publisher processes the Model's personal data in accordance with its Privacy Policy published at https://cliriumsmagazine.com. Where Federal Law of the Russian Federation No. 152-FZ "On Personal Data", the GDPR or the UK GDPR requires a separate consent to the processing or cross-border transfer of personal data, the Model shall be asked to give such consent in a separate document, and this Release does not substitute for it.

7.4. The Model releases the Publisher, its managers, employees, contributors, licensees and service providers from all claims for invasion of privacy, misappropriation of name or likeness, violation of the right of publicity, false light and similar claims arising from any use of the Materials or the Likeness in accordance with this Release, including uses involving editing and retouching permitted under Sections 3.2 and 5. This release does not apply to any breach of this Release by the Publisher.

8. Ownership; Materials Supplied by the Model

8.1. The Model acknowledges that the copyright in the Materials belongs to the Publisher or to the photographer or other author who created them, and that the Model acquires no ownership interest in the Materials.

8.2. On request, the Publisher shall provide the Model with digital copies of the published images of the Model for the Model's personal, non-commercial use, including on the Model's personal social media accounts, with the credit line specified by the Publisher. Any other use requires the Publisher's written consent.

8.3. If the Model supplies photographs, videos or other materials from the Model's personal archive for publication, the Model grants the Publisher the license set out in Section 3 with respect to those materials, and warrants that the Model owns or is authorized to license them and that each identifiable person depicted in them (other than the Model) has consented to their publication. The Publisher shall not publish any identifiable image of a person other than the Model who was a minor at the time of publication.

9. Consideration

9.1. The Model acknowledges that the consideration for this Release consists of the Publisher's editorial feature of the Model in the Magazine and the Publisher's undertakings in this Release, and that such consideration is adequate. No fee is payable to the Model unless separately agreed in a written agreement signed by the Publisher.

10. Term; Withdrawal; Removal Requests

10.1. This Release is perpetual. As to Materials that have been published or are in production at the time of any withdrawal, the consent given in this Release is irrevocable to the maximum extent permitted by applicable law.

10.2. If applicable law grants the Model a non-waivable right to withdraw consent, the withdrawal shall be made in writing to support@cliriumsmagazine.com and shall take effect prospectively thirty (30) days after receipt. The withdrawal shall not require the recall or alteration of issues already published or distributed, copies held by third parties, or, to the extent permitted by applicable law, the Magazine's archive. Upon an effective withdrawal, the Publisher shall cease new uses of the Materials on social media and on the CLIRIUM® Channels.

10.3. The Publisher shall consider in good faith any request by the Model to remove or anonymize the Model's images in the Magazine's archive where continued publication presents a demonstrable risk to the Model's personal safety.

11. Representations of the Model

11.1. The Model represents and warrants that: (a) the Model is at least eighteen (18) years of age and has full legal capacity; (b) the Model is not bound by any agreement (including with a modeling or talent agency) that conflicts with this Release; and (c) the information the Model provides to the Publisher for publication is true and accurate.

12. Electronic Signature

12.1. This Release may be signed electronically. An electronic signature has the same legal effect as a handwritten signature under the Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq.) and the Florida Uniform Electronic Transaction Act (Section 668.50, Florida Statutes). An electronic or scanned copy of the signed Release is as valid as the original. This Release may be signed in counterparts.

13. General Provisions

13.1. Governing law. This Release is governed by the laws of the State of Florida and applicable federal law of the United States, without regard to conflict-of-laws rules.

13.2. Venue. Any dispute arising out of or relating to this Release shall be brought exclusively in the state courts located in Osceola County, Florida, or, for matters within the exclusive jurisdiction of the federal courts, in the United States District Court for the Middle District of Florida. The Model consents to the personal jurisdiction of those courts.

13.3. Assignment. The Publisher may assign this Release to any successor to the publication of the Magazine. The Model may not assign this Release.

13.4. Relationship to other agreements. This Release is in addition to any other written agreement between the Model and the Publisher concerning the Model's story. As to the use of the Materials and the Likeness, this Release controls unless the other agreement expressly states otherwise.

13.5. Severability. If any provision of this Release is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision shall be enforced to the maximum extent permitted.

13.6. Notices. Notices to the Model shall be sent to the Model's contact stated above; notices to the Publisher shall be sent to support@cliriumsmagazine.com.

13.7. Language. This Release is executed in English with a Russian translation. The English version controls in the event of any discrepancy.
